6. Authorization to increase capital for warrant programs The Board of Directors proposes that the Board of Directors is authorized to issue warrants without pre-emptive rights for the Company’s Shareholders, as the Board of Directors wishes to offer warrants as part of the incentive programs for the Company’s management and/or employees. The proposal involved the following being inserted as the new § 6.6 in the Company’s Articles of Association: “The Company’s Board of Directors are authorized to issue warrants to employees and/or the management of Flügger group A/S and/or its subsidiaries for one or more times until August 10 th , 2027, with the right to subscribe for up to a nominal value of DKK 3,000,000 Class B shares without pre-emptive rights from the Company’s existing Shareholders at a price determines by the Board of Directors, provided that the price cannot be lower than the mar- ket price at the time of the decision. The Board of Directors is also authorized to implement the associated increase the B Share Capital on one or more occasions by up to a nominal value of DKK 3,000,000 without pre-emptive rights for the Company’s existing Shareholders and to determine the terms for the distribution and issuance of war- rants. The new B Shares must otherwise be subject to the same rules as for the existing B Shares in the Company. The new B Shares must be issued by name, noted by name in the Company’s registry of shareholders and be nego- tiable instruments.” 7. Election of members for the Board of Directors (including direct election of the Chairman and Deputy Chairman) The Board of Directors proposes election of Peter Korsholm as Chairman, re-election of Jimmi Mortensen as Deputy Chairman, re-election of Kim Balle and election of Bettina Antitsch Mortensen. A presentation of the Board Candidates is attached as Appendix 2. 8. Election of auditor The Board of Directors proposes re-election of Flügger group A/S’ current auditor PricewaterhouseCoopers Statsautoriseret Revisionspartnerselskab (PwC). 9.
