The parties acknowledge and agree that the services are being provided by DEIF on the basis that the project's financial or operational risks shall be the sole responsibility of the Customer. 双方确认并同意 DEIF 提供服务应基于项目的财务或运营风险由客户独自承担。 7. In the event DEIF commits an error with respect to, or incorrectly performs the services, DEIF shall use commercially reasonable efforts to correct such error, or re-perform such services at no cost to the Customer. DEIF 在 执 行服 务 方面犯 错 或不正确 执 行服 务时 ， DEIF 应 尽商 业 上合理的努力改正 错误 或者重新 执 行 服 务 ，且不得 对 客 户产 生任何 费 用。 The Customer will give DEIF a reasonable opportunity to remedy any deficiencies. The Customer acknowledges that his sole and exclusive remedy, and DEIF’s sole and exclusive liability, for any defect or error in the services shall be correction, re-performance or substitution of such services by DEIF. 客 户 需 给 DEIF 合理的机会 补 救任何不足之 处 。客 户 确 认 其 对 服 务 中任何缺陷或 错误 的唯一性、排他 性 补 救以及 DEIF 应 承担的唯一性和排他性 责 任， 应为 DEIF 纠 正、重新 执 行或替 换 相关服 务 。 DEIF’s liability for a claim of any kind arising out of the design services provided pursuant to these T&Cs shall in no case exceed the fees paid by the Customer. In no event shall DEIF be liable for any special, indirect, incidental or consequential damages, including loss of profits or business interruption, however caused, arising from the services provided pursuant to these T&Cs. 对 按照本条款与条件提供的服 务 而 产 生的任何 类 型的索 赔 ， DEIF 的 赔偿责 任不 应 超 过 客 户 所支付的 费 用。在任何情况下， DEIF 对 任何特殊、 间 接性、附 带 性或 结 果性 损失 （包括利 润损 失或 业务 中断 损失 ） 等 均不承担任何 赔偿责 任，无 论 损失 是否由按照本条款与条件提供的服 务 而引起。 8. DEIF works on the basis of marine society standards and other generally accepted international standards but takes no responsibility for society or other approval of the project proposal as devised. The obtaining of any required system approvals by marine societies, by other classification societies, or any local statutory approvals lies entirely with the Customer. DEIF 按照海洋学会 标 准和其他公 认 的 国际 标 准行事，但不承担学会或其他 针对 所 设计项 目建 议 的 许 可 责 任。海洋学会 或船级社 要求的任何系 统许 可或任何当地的法定 许 可的 获 取 应 完全由客 户负责 。 9. These T&Cs shall govern over any inconsistent terms in the documentation referred to in clause 1 above, except those specifically identified as a modification to these T&Cs. Any amendment to the agreement must be in writing and signed by both parties. 前文第 1 条所述的文件中有任何条款不一致 时应 以本条款与条件 为 准，除非文件明确确定作 为 本条 款与条件的修 订 。 对协议 做出的任何修改必 须 采用 书 面方式并 经 双方 签 字确 认 。 10. All disputes arising out of or related to these T&Cs or the documentation referred to in clause 1 shall be submitted to the responsible management of the contracting parties for amicable resolution. 由本条款与条件或前文第 1 条中所述的文件引起或相关的所有争 议应 送呈 缔约 双方之 责 任管理部 门 ， 以便 问题 得到友好解决。 In the absence of settlement, the laws of China shall govern this agreement, and the court having jurisdiction over the place where DEIF has its registered office shall have exclusive jurisdiction. 无法和解的情况下， 适用中国 法律 解决纠纷 ， DEIF 住所地法院 应拥 有 专 属管 辖权 。 11.
